1. Acceptance of Terms

By accessing, browsing, or using REWORK. ("Platform", "Service", "we", "us", or "our"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THIS PLATFORM. Your continued use of the Platform constitutes your acceptance of these Terms and any modifications thereto.

We reserve the right to modify, amend, or replace these Terms at any time. We will endeavour to provide reasonable notice of material changes via email or in-platform notification where practicable. Changes are effective upon posting. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

2. Definitions

• "Platform" refers to the REWORK. website (reworkdigital.io), its sub-domains (including Finprob, SwitchAsses, Resume Builder, and Lab), mobile applications, APIs, and all related services, content, and features
• "Professional" or "Candidate" refers to users seeking workforce readiness services, verified marketplace placement, job opportunities, and career advancement through the Platform
• "Company" or "Employer" refers to organizations seeking to access verified, workforce-ready professionals, post job opportunities, or use hiring intelligence features such as SwitchAsses
• "Seller" refers to users who offer services, products, or deliverables through the Platform marketplace, including freelancers, consultants, and automation service providers
• "Third-Party Platforms" refers to external employers, job boards, opportunity providers, and integrated services not operated by REWORK.
• "Workforce Readiness System" refers to our multi-stage process including Profile Verification, Application Readiness, and Employer-Aligned Onboarding
• "Verified Marketplace" refers to our talent marketplace featuring cryptographic skill verification, Proof of Work portfolios, and trust tier badges
• "AI Services" refers to AI-powered features including the AI Copilot, AI Career Intelligence, AI Resume Builder, SwitchAsses hiring intelligence, content generation, and automated matching, powered by third-party providers including Anthropic Claude
• "Services" refers to all workforce readiness, verification, marketplace, AI tools, escrow, compliance, project management, and related services provided through the Platform
• "Content" refers to all text, data, images, files, profiles, portfolios, assessments, and other materials uploaded to or generated on the Platform
• "User Account" refers to your registered account on the Platform, including all associated data, preferences, and activity history

3. Nature of Platform

3.1 Platform Role

REWORK. is a verified talent marketplace and workforce readiness platform that connects professionals with employers, facilitates project-based engagements through milestone escrow, provides AI-powered career tools, and offers resources for career development. While we actively facilitate these connections and transactions, we are NOT:

• An employment agency, staffing firm, or recruiter
• A job placement, headhunting, or hiring service
• An employer, hiring entity, or joint employer of any user
• A guarantor of employment, approval, income, or any specific outcome
• A party to any employment agreements between users
• A party to any agreements between users and third-party platforms
• Responsible for the actions, services, decisions, or omissions of sellers, service providers, third-party platforms, employers, or other users

3.2 Independent Contractors

All sellers and service providers on the Platform are independent contractors, NOT employees or representatives of REWORK.. We do not employ, supervise, direct, or control these individuals in any manner. They set their own schedules, methods, fees, and service terms independently.

3.3 Platform Services

REWORK. provides the technology infrastructure, marketplace, and tools that enable users to connect, transact, and collaborate. This includes the verified marketplace, escrow payment system, AI-powered matching and career intelligence tools, compliance automation, and project management features. Verification assessments and professional development services delivered through the Platform are provided by independent service providers unless otherwise stated.

3.4 No Agency Relationship

REWORK. does not and will not serve as an agent for any user. We expressly reject delegation of any decision-making authority by any user. The Platform is offered for your consideration and independent decision-making. All hiring, engagement, and approval decisions are made solely by the relevant employer, client, or third-party platform — not by REWORK..

4. Account Eligibility & Registration

4.1 Eligibility Requirements

You must be at least 18 years old and legally capable of entering into binding contracts in your jurisdiction. By creating an account, you represent and warrant that you meet these requirements and that all information provided is truthful and accurate.

4.2 Account Types

The Platform offers different account types including candidate, employer, and seller accounts. Each account type has specific features, obligations, and terms detailed in the relevant sections of these Terms. You may only maintain one account per account type unless expressly authorized.

4.3 Account Responsibilities

You are solely responsible for:

• Maintaining the confidentiality and security of your account credentials
• All activities that occur under your account, whether authorized or unauthorized
• Ensuring all information provided is truthful, accurate, current, and complete
• Updating your information promptly to keep it current
• Notifying us immediately of any unauthorized access or security breaches

4.4 Account Suspension, Freezing & Termination

We reserve the right to suspend, freeze, restrict, or terminate any account at any time, for any reason or no reason, with or without notice, including but not limited to violations of these Terms, suspected fraud, abusive behavior, or any activity we deem inappropriate at our sole discretion.

Account freezing may include the suspension of all financial activities, including the ability to withdraw funds, receive disbursements, or initiate transactions. Frozen accounts may have all associated funds held pending the outcome of any investigation, dispute, or legal proceeding. Account termination does not relieve you of any outstanding financial obligations, indemnification duties, or liabilities incurred during your use of the Platform. REWORK. may retain funds as necessary to satisfy any pending claims, chargebacks, refunds, or legal obligations.

5. Modifications to Terms

REWORK. reserves the right to modify, update, or replace any part of these Terms at any time. We will provide notice of material changes via email, in-platform notification, or by posting an updated version on the Platform. However, we are not obligated to provide advance notice for non-material changes.

It is your responsibility to review these Terms periodically. Your continued use of the Platform following any changes constitutes binding acceptance of the revised Terms.

6. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding relating to these Terms (if not subject to arbitration) shall be brought exclusively in the courts located in Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to venue.

For users outside Canada, these Terms are still governed by Ontario law. Any local consumer protection laws that cannot be waived by contract will apply to the extent required.

7. Entire Agreement & Severability

These Terms, together with our Privacy Policy, Acceptable Use Policy, and all other referenced policies, constitute the entire agreement between you and REWORK. regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

8. No Waiver & Assignment

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of REWORK..

You may not assign, transfer, or delegate these Terms or your account without our prior written consent. We may assign these Terms at any time without restriction to any affiliate, successor, or acquirer. These Terms are binding upon and inure to the benefit of the parties and their permitted successors and assigns.

9. Survival

All provisions which, by their nature, should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, obligations of confidentiality, indemnification obligations, limitations of liability, and dispute resolution provisions. Termination of your account does not relieve you of any obligations incurred prior to termination.
